Terms of Service

By accessing or using Grailsnap (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. The Service

Grailsnap ("we," "us," "our," or "Grailsnap") provides a service that monitors publicly available listings on third-party online marketplaces and notifies you when items matching criteria you define become available, and that displays reference information such as recent sales and estimated market values for collectible items. We do not own, operate, or have any affiliation with Heritage Auctions, eBay, StockX, Goldin Auctions, Mercari, or any other marketplace, platform, brand, or data provider we monitor or display. We are not a broker, dealer, agent, auctioneer, appraiser, escrow service, or counterparty to any transaction that results from a Grailsnap alert or that involves any item we reference.

Grailsnap is purely a monitoring and notification service. Its only function is to inform you that a listing matching criteria you define has become available. We do not, and cannot, buy, bid, snipe, auto-bid, place orders, check out, add items to a cart, hold or transfer funds, charge you for any third-party item, or otherwise act as an intermediary, agent, or medium to initiate, negotiate, or complete any transaction between you and any seller or marketplace. Every purchasing decision, negotiation, payment, and transaction is made by you, directly with the third party, entirely at your own discretion and risk. The only fee Grailsnap ever charges you is the subscription fee for access to the Service itself.

2. Eligibility

To use Grailsnap you must be at least 18 years old (or the age of legal majority in your jurisdiction, whichever is higher), capable of entering into a binding contract, and not prohibited from receiving the Service under applicable law. You represent and warrant that you meet these requirements.

3. Your account

You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; (c) notifying us promptly of any unauthorized access. One account is licensed to one individual; accounts are not transferable. If we detect that a single account is being shared, used by multiple individuals, or used at a scale inconsistent with personal use, we may suspend or terminate the account without refund.

4. License grant

When you purchase a Grailsnap tier, we grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service at the tier you purchased, for as long as Grailsnap operates the Service and you remain in compliance with these Terms. Subject to Sections 8 and 18, we will not introduce recurring fees on your account and will not retroactively reduce the features of your tier.

The license does not transfer any ownership of the Service, the underlying systems, the data, the brand, the trademarks, or any related intellectual property. All rights not expressly granted are reserved by Grailsnap.

5. Acceptable use

You agree to use the Service only for lawful, personal purposes and to:

• Use the Service to alert yourself, your household, or a single account.
• Comply with all applicable laws and the terms of service of any third-party marketplace the Service interacts with on your behalf.
• Provide accurate account information and keep it current.

6. Prohibited conduct

You will not, and will not permit anyone else to:

• Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code or underlying algorithms of the Service;
• Crack, jailbreak, modify, bypass, or circumvent any licensing, authentication, rate-limiting, paywall, anti-fraud, or anti-abuse mechanism of the Service;
• Distribute, resell, sublicense, lease, lend, share, or grant access to your Grailsnap account, license keys, or access credentials to any third party;
• Use the Service to scrape, mirror, redistribute, or republish marketplace data outside the alert experience the Service is designed to provide;
• Scrape, crawl, harvest, index, cache, copy, extract, or otherwise collect any content, data, prices, valuations, images, or compilations displayed by the Service or on grailsnap.com by any automated or manual means, except for your own personal, non-commercial reference;
• Use any content or data from the Service to train, fine-tune, evaluate, or develop any machine-learning model, large language model, dataset, index, price guide, or other artificial-intelligence system;
• Use the Service, its data, its outputs, or any analysis of it to build, improve, benchmark, or assist any product or service that competes with Grailsnap, or for any competitive-intelligence purpose;
• Remove, obscure, alter, or fail to display any attribution, source link, copyright, trademark, or other proprietary notice presented with the content (including the "Source" credits attached to third-party data);
• Use the Service to send unsolicited communications, conduct denial-of-service activity, or load-test third-party marketplaces;
• Use the Service for any unlawful, fraudulent, or deceptive purpose, including the resale of counterfeit, stolen, or prohibited items;
• Probe, scan, or test the vulnerability of the Service or any system connected to it without our prior written consent;
• Introduce viruses, malware, or any other harmful code;
• Use any robot, spider, scraper, or other automated means to access the Service except as expressly permitted by us in writing;
• Interfere with or disrupt the operation of the Service, the servers or networks it runs on, or any other user's enjoyment of it;
• Use the Service in a manner that violates these Terms, our Privacy Policy, or any policy we publish.

7. Anti-circumvention and license enforcement

The Service includes technical measures that protect our intellectual property and enforce these Terms (license checks, auto-updates, telemetry sufficient to validate eligibility, etc.). You agree not to circumvent, disable, or interfere with any of these measures. We may modify these measures from time to time. Any attempt to defeat them is a material breach of these Terms and grounds for immediate termination without refund.

8. Suspension, termination, and refusal of service

We may, at our sole discretion and without prior notice, suspend or terminate your account, revoke your license, disable your Grailsnap access, refuse a purchase, or refuse to provide the Service to you if we reasonably believe you have:

• Violated these Terms or any policy referenced in them;
• Engaged in any prohibited conduct described in Section 6;
• Attempted to crack, hack, reverse-engineer, or otherwise misuse the Service;
• Used the Service to abuse third-party marketplaces, sellers, or other users;
• Made misrepresentations during sign-up, application, or founding onboarding;
• Initiated a chargeback or payment dispute without first contacting us in good faith;
• Acted in any manner that exposes us to legal, regulatory, financial, or reputational risk.

Where the circumstances permit, we may provide notice and an opportunity to cure before termination. Where they do not (including in cases of material breach, fraud, or attempted intrusion) we may act immediately. Termination under this Section does not entitle you to any refund and does not relieve you of obligations incurred before termination.

We further reserve the right to refuse to sell the Service to any person or entity, in our sole discretion, subject to applicable anti-discrimination laws.

9. Third-party marketplaces

Grailsnap surfaces information from third-party marketplaces that we do not control. Pricing, availability, item condition, authenticity, shipping terms, seller representations, and the ultimate transaction are entirely between you and the marketplace and/or seller. We make no warranty about the accuracy, completeness, or timeliness of listing data we surface, and we are not liable for counterfeit, misrepresented, lost, or damaged items, fraud, scams, non-payment, non-delivery, failed transactions, chargebacks, or any other loss, dispute, or harm arising from your reliance on a Grailsnap alert or from any transaction you choose to enter into. You are solely responsible for evaluating each listing and seller and for the safety of any purchase you pursue.

10. Third-party data and licensed content

Some information displayed by the Service, including recent-sale figures and estimated market values, is provided by third-party data licensors (for example, PriceCharting and sneaker-market data sources) and remains the sole property of those licensors. We display it under license and, where required, with attribution and a link back to the source. As between you and us:

• You receive no ownership of, and no license to, any third-party data beyond the ability to view it within the Service for your own personal reference;
• You will not copy, store, reproduce, sell, resell, lease, redistribute, or otherwise exploit any third-party data, and will not remove or obscure any "Source" attribution or link presented with it;
• Third-party data is provided "as is." We do not warrant its accuracy, completeness, or currency, and the relevant licensor's terms may also apply to your use of it.

The market-average values we display, and any indicator that a listing is priced "below market," "above market," or similar, are generated automatically by software from these third-party databases. They are estimates for general informational purposes only and are not an appraisal, valuation, offer, price guarantee, or financial, investment, tax, or purchasing advice. The underlying data may be incomplete, delayed, or incorrect; our automated matching of a listing to a reference item may be imperfect; and an item's actual value or fair price may differ materially from any figure or comparison we show. You must independently verify an item's value before relying on it or transacting. To the maximum extent permitted by law, Grailsnap is not liable for any loss, cost, or damage arising from your reliance on any market-average figure or above/below-market indicator, whether the inaccuracy originates in the source data or in our automated processing of it.

Item names, set names, reference numbers, and similar identifiers are used for descriptive identification only and do not imply any endorsement by, or affiliation with, the underlying brand, marketplace, or grading authority.

11. Intellectual property

Grailsnap and its licensors retain all right, title, and interest in and to the Service, including all code, designs, user interfaces, text, graphics, trademarks, service marks, logos, content, know-how, and underlying intellectual property. Nothing in these Terms transfers any of that to you. You may not use the Grailsnap name, logo, or trademarks without our prior written consent.

We further own all right, title, and interest in the selection, coordination, arrangement, presentation, and compilation of the information made available through the Service, including any database rights in it, even where individual underlying facts are public or are owned by third parties. This compilation is protected by copyright and, where applicable, sui generis database rights, and may not be extracted or re-used except as expressly permitted in these Terms.

Any feedback, suggestions, ideas, or proposals you provide about the Service are given voluntarily and without expectation of compensation, confidentiality, or attribution. You grant us a perpetual, irrevocable, royalty-free, worldwide, sublicensable license to use, modify, and incorporate them into the Service or our business without restriction.

12. Third-party trademarks and nominative use

Product names, brand names, set names, reference numbers, grading designations, and marketplace names referenced in the Service (for example, Rolex, Nike, Pokémon, Hermès, PSA, CGC, eBay, Heritage Auctions, and others) are the trademarks or registered trademarks of their respective owners. They are used solely for nominative, descriptive, and identification purposes to indicate the items collectors hunt for. Grailsnap is not affiliated with, endorsed by, sponsored by, or connected to any of these owners, marketplaces, or grading authorities, and no such affiliation or endorsement is implied.

13. No professional, investment, or valuation advice

The Service is an information and alert tool for collectors. Any price, "recent sale," estimated market value, "below market" or "above market" indication, or similar figure is provided for general informational purposes only and is not, and must not be relied upon as: an appraisal; an authentication or grading; a guarantee of value, condition, or investment return; or financial, investment, tax, or legal advice. Collectibles are illiquid and speculative, and their values fluctuate. You are solely responsible for your own research and decisions, and you should consult a qualified professional before making any purchase, sale, or investment decision. We do not guarantee that any item can be bought or sold at any displayed price.

14. User-submitted content

If you submit content to us (for example, a message, image, or attachment through our contact form), you represent that you have the rights to do so and that the content does not infringe any third-party right or violate any law. You grant us a non-exclusive, worldwide, royalty-free license to use that content for the purpose of operating, supporting, and improving the Service. We may remove or decline to use any submission at our discretion, and we are under no obligation to store or return it. Do not submit confidential, sensitive, or proprietary information you do not wish us to receive.

15. Payments

All payments are processed by Paddle.com Inc. and its affiliates ("Paddle") acting as Merchant of Record. As Merchant of Record, Paddle is the authorised reseller and seller of record for your purchase, which means your payment contract is with Paddle; Paddle handles billing, calculates and remits applicable taxes, and issues invoices and refunds. Your purchase is subject to Paddle's buyer terms. Charges appear on your statement as "Paddle" or "PADDLE.NET." Currency conversion and transaction fees imposed by your bank are your responsibility.

16. Refunds and cancellation

See our Refund Policy. In short: you may request a full refund within 14 days of purchase, no questions asked, and we will process it through Paddle within 5 business days of receipt. Upon refund, your license is revoked and your account access is disabled. After the 14-day window, refunds are at our discretion as described in the Refund Policy.

17. Beta and pre-launch Service

The Service is offered on a pre-launch / founding-member basis and is under active development. Features, coverage, supported marketplaces, data sources, pricing tiers, and the look and behavior of the Service may change, be added, or be removed at any time, and some features are experimental and may not function as intended. Statements about future features, marketplaces, or timelines are aspirational and are not promises or commitments. Your sole remedy if a pre-launch feature does not meet your expectations is the refund right described in Section 16.

18. Service availability and discontinuation

The Service is provided on an "as-is" and "as-available" basis. We make commercially reasonable efforts to keep the Service operational but do not guarantee uninterrupted availability. Scheduled maintenance, third-party outages, marketplace or data-provider API changes, force majeure events, and similar circumstances may cause downtime.

If we discontinue the Service entirely, we will provide at least 90 days' notice and a pro-rata refund to any user who purchased their license within the prior 24 months. After discontinuation, your license automatically terminates and your access to the Service ends.

19. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL DATA, PRICES, VALUATIONS, AND CONTENT IT PROVIDES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY LISTING THAT MATCHES YOUR CRITERIA, OR THAT EVERY ALERT WILL ARRIVE AT A PARTICULAR TIME, OR THAT ANY PRICE, VALUATION, OR OTHER INFORMATION DISPLAYED IS ACCURATE, COMPLETE, OR CURRENT.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GRAILSNAP, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTE, OR OTHERWISE).

21. Indemnification

You agree to indemnify, defend, and hold harmless Grailsnap, its owners, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your use or misuse of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any transaction you enter into with a marketplace or seller based on information surfaced by the Service.

22. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

23. Export controls and sanctions

You represent that you are not located in, and are not a national or resident of, any country or territory subject to comprehensive trade sanctions, and that you are not on any government list of prohibited or restricted parties. You agree not to use the Service in violation of any applicable export-control or sanctions law.

24. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including without limitation acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, or third-party platform, marketplace, or data-provider outages or API changes.

25. Modifications to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email and post a notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may request a refund as provided in the Refund Policy.

26. Governing law, dispute resolution, and class-action waiver

These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes), are governed by and construed in accordance with the laws of the Kingdom of Bahrain, without regard to its conflict-of-laws rules. Mandatory consumer-protection laws of your country of residence continue to apply where they grant you rights that cannot lawfully be waived by agreement.

The parties will first attempt to resolve any dispute informally. If a dispute is not resolved within 60 days of written notice, it will be subject to the exclusive jurisdiction of the competent courts of the Kingdom of Bahrain or, at Grailsnap's election, to final and binding arbitration administered by the Bahrain Chamber for Dispute Resolution (BCDR), seated in Manama and conducted in English.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND YOU AND GRAILSNAP EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, AND ANY RIGHT TO A JURY TRIAL. This waiver applies only where, and to the extent, it is permitted by the law of the forum hearing the dispute.

27. General

• Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and any documents referenced, constitute the entire agreement between you and Grailsnap regarding the Service.
• Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these Terms or your account. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.
• Survival. Sections 6, 7, 8, 10, 11, 12, 13, 14, 19, 20, 21, 23, 24, and 26 survive termination of these Terms.
